1. About these terms

These Terms & Conditions govern your use of the MatterTech website (mattertech.cc) and the services provided by MatterTech for Software Solutions ("MatterTech", "we", "us"), an Egyptian company headquartered at Building B12, Smart Village, Giza 12577, Egypt. 2. Our services

MatterTech provides software development services — including websites, mobile applications, SaaS products, custom business systems, UI/UX design and cloud/DevOps services — as well as software products marketed under the MatterPOS, MatterHR, MatterDesk and MatterCRM brands. Specific deliverables, timelines and prices for each engagement are defined in a written Statement of Work (SOW) or proposal signed by both parties, which prevails over any general description on this website.

3. Quotes, payments and taxes

All quotes are fixed-price unless explicitly stated otherwise, and are valid for 30 days from issue. Projects are billed by milestones as stated in the SOW — typically 30% at kickoff, 40% at a mid-project milestone and 30% on delivery. Accepted payment methods include bank transfer, InstaPay and cheque for Egyptian clients, and SWIFT or Wise for international clients. Prices exclude applicable taxes unless stated; VAT is added per Egyptian law where applicable. Overdue invoices accrue interest at 1.5% per month.

4. Intellectual property and ownership

Upon full payment of the final invoice, all custom-developed code, design files, documentation and related intellectual property created specifically for you under the SOW transfer to and become your exclusive property. We retain ownership of our pre-existing tools, libraries and know-how, and grant you a perpetual, royalty-free license to use them as embedded in your deliverables. We may reference the engagement in our portfolio in anonymized or approved form, unless the SOW or an NDA states otherwise.

5. Confidentiality

Both parties will keep confidential all non-public information disclosed during the engagement — including business data, designs, roadmaps and pricing — and use it solely for the purposes of the project. We are happy to execute your NDA before detailed discussions begin. These obligations survive the end of the engagement by three years.

6. Warranties and support

Every project includes a 60-day warranty from launch, during which we fix defects in the delivered work at no charge. The warranty excludes changes to third-party services, hosting environments or content modified by parties other than us. Ongoing support, monitoring and maintenance are provided under separate care plans or SLAs with defined response times.

7. Client responsibilities

Timely delivery depends on timely collaboration. You agree to provide requested materials, feedback, approvals and access within the timeframes agreed in the project plan. Delays in feedback may shift timelines proportionally. You confirm you hold the necessary rights to all materials you provide to us.

8. Limitation of liability

To the maximum extent permitted by law, MatterTech's total liability under any engagement is limited to the fees actually paid for that engagement in the twelve months preceding the claim. We are not liable for indirect or consequential losses, lost profits or lost data arising from third-party services, force majeure or misuse of deliverables. Nothing in these terms limits liability that cannot be limited under Egyptian law.

9. Termination

Either party may terminate an engagement with written notice as described in the SOW. On termination, you pay for work completed to date and reasonable winding-down costs, and receive all work products paid for, in an agreed handover format. Prepaid amounts for unstarted milestones are refunded.

10. Governing law

These terms are governed by the laws of the Arab Republic of Egypt. Disputes will first be addressed through good-faith negotiation; unresolved disputes fall under the jurisdiction of the Egyptian courts, unless the SOW specifies arbitration in Cairo.

11. Changes to these terms

We may update these terms from time to time. The current version is always published on this page with its last-updated date. Continued use of the website or services after changes constitutes acceptance.
